Fren One Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Fren One products and services (collectively, the "Service"), operated by Fren One Digital Inc. ("Fren One", "Company", "we", "us", or "our"). By accessing or using the Service — including by installing or administering one of our community agents, or by creating an account — you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not access or use the Service.

If you accept these Terms on behalf of a company, community, or other organization, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Definitions

• "Agent" means a Fren One automated assistant added to a third-party platform, including our Telegram agent and Discord agent.
• "Community" means a Telegram group/channel or Discord server in which an Agent operates.
• "Member" means a participant in a Community.
• "Operator" means the account holder who connects, configures, or administers an Agent or a Community on the Service (typically a Community owner or admin).
• "Content" means messages, text, media, links, and other data that pass through or are submitted to the Service.

3. Description of Service

Fren One provides community management tools, which currently include:

• Community agents for Telegram and Discord offering moderation, spam and raid protection, onboarding and verification, support tickets, gamification, scheduling, and related tools;
• Optional cross-platform bridging that relays messages between Communities you link (for example, between a Discord server and a Telegram group);
• A management dashboard (app.fren.one) for configuring Agents and viewing analytics and reports;
• Optional integrations, including X (post scheduling, drafting, and monitoring of public X content you choose to track) and Slack (delivery of alerts and notifications to your workspace);
• AI-assisted features such as content moderation, sentiment analysis, knowledge-base assistants, and reporting; and
• Optional Web3 features such as token-gating, price feeds, and on-chain activity ("buy bot") notifications.

We may add, modify, or remove features over time. Not all features are available on every platform or plan.

4. Beta Service

The Service is currently offered as a beta release. It is provided on an "as is" and "as available" basis and may be incomplete, change frequently, or contain errors. During the beta period:

• Features may be added, changed, suspended, or removed without notice;
• We do not offer a service-level agreement (SLA) or uptime guarantee;
• The Service may be unavailable, and data or configurations may be reset; and
• We may contact beta participants for feedback. You are not obligated to provide feedback, but any feedback you provide may be used by us without restriction or obligation to you.

We recommend you maintain your own backups of any configuration or content that is important to you.

5. Eligibility and Accounts

To create an account or administer an Agent, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction);
• Have the legal authority to enter into these Terms;
• Be the owner or an authorized administrator of any Community you connect;
• Provide accurate account information and keep it current; and
• Keep your account credentials secure. You are responsible for activity under your account.

Members of a Community are not required to hold a Fren One account; their use of Telegram and Discord remains governed by those platforms' own terms.

6. Operator Responsibilities and Data Protection Roles

When you connect an Agent to a Community, you act as the party responsible for that Community. For personal data of Members that we process on your behalf and on your instructions to provide the Service, you are the data controller and Fren One acts as your data processor. We are an independent controller for account, billing, security, and aggregated/de-identified analytics data, as described in our Privacy Policy. Business customers who require a Data Processing Agreement (DPA) may request one at privacy@fren.one.

As an Operator, you agree to:

• Confirm you have authority to connect the Community and to enable the features you turn on;
• Provide Members with notice that a Fren One Agent is operating in the Community and that messages and activity are processed as described in our Privacy Policy, and obtain any consents your local law requires;
• If you enable cross-platform bridging, notify Members of each bridged Community that their messages, names, and avatars are relayed to the linked Community on the other platform;
• Comply with, and ensure your use of the Service complies with, the terms and policies of Telegram and Discord;
• Configure and use moderation and data features lawfully and proportionately; and
• Be responsible for the content and conduct within your Community, including content our automated systems do not catch.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Violate the terms or policies of Telegram, Discord, or any other integrated platform;
• Transmit unlawful, harmful, harassing, abusive, hateful, or discriminatory content;
• Distribute spam, malware, or other malicious content;
• Collect, aggregate, or process data beyond what is necessary to operate the features you enable, or build datasets or train machine-learning models from Community data;
• Surveil, profile, or track individuals for purposes unrelated to operating your Community;
• Attempt to circumvent or disable security or rate-limiting measures;
• Reverse engineer, decompile, or extract source code, except where this restriction is prohibited by law; or
• Impersonate any person or entity, or misrepresent your affiliation.

8. Third-Party Platforms and Services

The Service integrates with third-party platforms and services, including Telegram, Discord, X, Slack, blockchain networks and wallets, and our infrastructure and AI providers. Fren One is an independent product and is not endorsed by, affiliated with, or sponsored by Telegram, Discord, X, or Slack. Your use of those platforms is governed by their own terms and privacy policies, and their availability and behavior are outside our control. Web3 features interact with public blockchains; on-chain transactions are irreversible and outside our control, and nothing in the Service is financial, investment, or trading advice.

9. AI Features

Certain features use artificial intelligence, including third-party AI providers, to analyze content, moderate messages, generate text, and produce insights. AI output may be inaccurate, incomplete, or unsuitable, and is provided as a tool to assist — not replace — human judgment. You are responsible for reviewing AI output before relying on it, and AI features do not constitute legal, financial, or other professional advice. How content is processed by AI providers, and our instruction that providers not train their models on your data, is described in our Privacy Policy.

10. User Content

You retain ownership of the content you submit to the Service, such as messages, media, and configurations. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely to the extent necessary to operate and provide the Service to you (for example, to deliver a message you schedule or to display a notice you configure). This license ends when the content is removed or your account is closed, except for residual copies retained as described in our Privacy Policy or required by law.

You are responsible for your content and for ensuring it is lawful and does not infringe the rights of others. We do not claim ownership of your content and do not sell it.

11. Payments and Billing

Some features are or will be offered on paid plans. Where you purchase a paid plan:

• Fees are billed in advance on the interval shown at checkout (e.g., monthly or annually). You may cancel at any time from the billing dashboard, which stops future renewals. Unless required by law, fees already billed for the current monthly period are non-refundable; on annual plans, unused full months are eligible for a prorated refund;
• Payments are processed by our payment provider, Stripe; we do not store full card details;
• You authorize us and our payment provider to charge your selected payment method for applicable fees and taxes;
• We will provide reasonable advance notice of price changes; and
• Non-payment may result in suspension or termination of paid features.

Some or all features may be free during the beta period. We will give reasonable notice before charging for a feature that was previously free to you.

12. Intellectual Property

The Service and its original content, features, and functionality are and remain the exclusive property of Fren One Digital Inc. and its licensors, and are protected by copyright, trademark, and other laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

13. Privacy and Data Protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that the Service processes messages, Community activity, and other data to provide the features you enable, and you agree to meet your obligations as an Operator under Section 6.

14. Termination

You may stop using the Service at any time, including by removing an Agent from your Community or closing your account. We may suspend or terminate your access, with or without notice, for:

• Violation of these Terms or of a third-party platform's terms;
• Non-payment of fees;
• Illegal, harmful, or abusive activity; or
• Discontinuation of the Service or a feature.

On termination, your right to use the Service ceases. We will handle any personal data following termination as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MODERATION OR AI FEATURES WILL DETECT OR PREVENT ALL PROHIBITED CONTENT OR ACTIVITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FREN ONE DIGITAL INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING CERTAIN STATUTORY CONSUMER RIGHTS.

17. Indemnification

You agree to indemnify, defend, and hold harmless Fren One Digital Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, your operation of a Community, your violation of these Terms or of a third-party platform's terms, or your infringement of any third-party right.

18. Changes to the Service and Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. We may also modify, suspend, or discontinue parts of the Service as described in Section 4 and Section 14.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to the following sentence, any dispute will be resolved in the courts located in Victoria, British Columbia, and you consent to their jurisdiction. Nothing in this section deprives you of the protection of mandatory consumer-protection laws, or of the right to bring proceedings in the courts of your country of residence, where applicable law gives you that right.

20. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy and any plan-specific or processing terms, constitute the entire agreement between you and Fren One Digital Inc. regarding the Service.
